POSITION OBJECTIVE: The Governance Manager is the steward of organizational integrity and governance excellence. They lead efforts to strengthen Board and committee operations, ensure compliance across Ubongo's jurisdictions (Tanzania, USA, South Africa), and support strategic alignment with the nonprofit's mission and execution thereof. They ensure the organization complies with legal governance requirements, maintains transparent operations, and functions efficiently by facilitating clear communication and credibility between the Board and Executive team.
RESPONSIBILITIES include: Board Governance Management (develop governance frameworks, perform company secretarial duties for Ubongo International, Ubongo Learning, and Ubongo South Africa, maintain bylaws/board policies/charters, provide legal advice on bylaws, oversee Board/CEO performance assessment, lead board onboarding/training); Operational Governance (ensure adherence to local NGO laws/registry requirements/statutory reporting, identify operational risks, oversee internal governance audits, monitor compliance with governance frameworks).
QUALIFICATIONS: Relevant bachelor's degree in law, business, accounting, management, or finance, or professional certificate (CCEP, ICSA, CGEIT, ICA etc.). At least five years of experience in corporate governance, risk management, or compliance. Knowledge of legal/regulatory framework for non-profit organizations in Tanzania; familiarity with South Africa or Texas frameworks desirable. Full-time, Senior Manager/Supervisor level.
